Terms of Service

Last updated October 15, 2026

These Terms of Service are the agreement between you and Holden Labs LLC for using VoxUno. Please read them with the Privacy Notice, which explains what we do with personal data.

Please read "Disputes and arbitration" carefully. Unless you opt out within 30 days, you and we agree to resolve most disputes by binding individual arbitration, not in court, and to give up class actions and jury trials. That section explains how to opt out.

Who we are

VoxUno is operated by Holden Labs LLC, which is the party you contract with under these Terms. In these Terms, "we" and "us" mean Holden Labs LLC.

Holden Labs LLC
522 W Riverside Ave Ste N
Spokane, WA 99201
United States

VoxUno finds public conversations in online communities that matter to a business, and shows them to that business's team. By creating an account or using VoxUno, you agree to these Terms.

Business use only. VoxUno is a service for businesses. You may use it only for the work of a business or other organisation (which may be your own, if you work for yourself), and not for personal, family or household purposes. If you use VoxUno for a business, you agree to these Terms on the business's behalf and confirm you're allowed to, and "you" then means the business as well as you.

Words we use. Words with capitals, such as Project, Owner, Member, Plan, Subscription, Monitor, Match term, Excluded term, Community, Followed Community, Result, Tag, Digest, Dashboard and Business Profile, mean what they mean in the VoxUno app and its documentation. "Including" means "including but not limited to".

Projects and accounts

Your account. You sign up with an email address and a password, or with Google, and you must verify your email address before you can use VoxUno. You must be at least 18. Keep your sign-in details safe: you're responsible for what's done with your account.

Projects. VoxUno's work is organised into Projects, one for each business or website you monitor. Each Project is its own customer: it has its own Plan, Subscription, limits and members, it's billed on its own, and nothing is pooled across Projects. Whoever creates a Project becomes its Owner.

Members and roles. Each person in a Project is an Owner or a Member:

  • Owners can do everything in the Project, including billing, inviting and removing people, changing roles, the Digest's settings and deleting the Project. Every Project has at least one Owner.
  • Members can do all the monitoring work: Communities, Monitors, Tags, Results, and the Project's name, website and Business Profile on the Company tab.

Owners invite people by email. An invitation lasts 7 days and works only for the address it was sent to. A Project's Owners are responsible for who they invite and for what the Project's members do in it.

Plans, trial, payment and cancellation

Plans. A Plan sets a Project's limits on Monitors and Followed Communities. Every Plan has unlimited members. Plans, prices and limits are on the Pricing page, monthly or annual. At a limit, VoxUno asks you to upgrade before you add more; it doesn't switch off anything you already have. If you move to a Plan with lower limits than you're using, the most recently created items over the limit are paused, not deleted, and you can choose others to pause instead.

The trial. Your first Project starts with a 14-day free trial, with no card, at the limits of our entry Plan. The trial is for your first Project only: one per verified email address and per Google account. Any later Project needs a Plan before its Setup opens. We may grant or extend a trial at our discretion. If we refuse a trial automatically (for example a disposable email address), you can ask us to review it at support@voxuno.ai, and a person on our team will. When a trial ends without a Plan, the Project enters its Grace period. A trial never turns into a paid Subscription by itself.

Payment and renewal. Owners buy and manage a Project's Plan through Stripe, our payment provider, from the Project's Billing tab. By buying a Plan, you authorise us, through Stripe, to charge the payment method you give for each period until the Subscription is cancelled. Subscriptions renew automatically at the end of each monthly or annual period, at the Plan's price at that time, until they're cancelled. If a payment fails, Stripe retries it, and the Project stays fully working while it does. If Stripe's retries all fail, the Project enters its Grace period.

Price changes. We may change a Plan's price. Before a higher price applies to a Project's Subscription, we'll email its Owners at least 30 days ahead, and the new price starts only at the next renewal after that notice. If you don't want to pay it, cancel before the renewal.

Taxes. Prices don't include taxes. Where we're required to collect a tax, we'll add it to your invoice. You're responsible for taxes on what you buy from us, other than taxes on our income.

Cancellation and refunds. An Owner can cancel a Project's Subscription at any time from the Billing tab. Cancelling takes effect at the end of the period you've paid for, and the Project keeps working until then. There are no refunds for part of a period, whether you cancel, move to a smaller Plan or stop using VoxUno. Deleting a Project in the middle of a period cancels its Subscription at once, without a refund.

The Grace period

A Project enters its Grace period when its Subscription is cancelled and the period ends, when its trial ends without a Plan, or when Stripe gives up on a failed payment. The Grace period lasts 30 days, and during it the Project is read-only:

  • VoxUno stops collecting for it and stops sending its Digest;
  • its members can still see, filter and search its Results and its Dashboard;
  • nobody can change its Monitors, Tags, Communities or Company details, or save or dismiss Results;
  • its Owners see a "Resubscribe" banner.

After the 30 days, the Project stays read-only, and keeps its Results, Monitors and Followed Communities until it subscribes again. Subscribing again restores everything at once. An Owner can delete the Project at any time, during its Grace period or after it. Your other Projects aren't affected.

Acceptable use

When you use VoxUno, and when you take part in the conversations it finds, you agree to:

  • follow each community's own rules;
  • not spam or harass anyone;
  • not use VoxUno to profile or surveil individuals, or groups defined by sensitive traits such as health, religion, ethnicity, politics or sexuality;
  • comply with the law that applies to you, including privacy, data-protection and marketing law.

You're responsible for how you take part in the conversations VoxUno shows you: what you post, and where, is up to you.

You also agree not to misuse the service: don't try to get around a Plan's limits or the one-trial rule, break or overload VoxUno, get into other people's Projects, copy VoxUno to build a competing service, or resell VoxUno without our written agreement.

What VoxUno does and doesn't do

What it does. Each day, VoxUno looks in your Project's Followed Communities for each Monitor's Match term, and shows the public posts that match as Results. Matching follows the rules in our documentation: whole words and phrases, exactly as written.

Suggestions. VoxUno makes suggestions automatically from your website and Business Profile: it drafts your Business Profile, and suggests Communities and Monitors. Suggestions can be wrong, incomplete or unsuitable for your business, and they aren't professional advice. During Setup, VoxUno follows suggested Communities and creates Monitors for suggested terms, up to your Plan's limits, unless you untick them. Check what VoxUno suggests: you're responsible for the Business Profile, Communities and Monitors your Project keeps.

What it doesn't do. VoxUno never posts on anyone's behalf: it doesn't post, reply, vote or send messages for you. You read a Result, and if you want to take part, you follow its link and join the conversation yourself.

Coverage and Results can change. VoxUno doesn't find every post that matches a Monitor, and we don't promise that it will find any particular post, or that any site or Community will stay covered. In particular:

  • when you add a site, a site VoxUno can already collect from is followed at once, but a site it can't collect from yet waits in Pending review until our team approves it, and our team can reject it;
  • a site's owner can stop VoxUno collecting from it, and VoxUno stops when its robots.txt no longer allows it;
  • a Community can be temporarily unavailable when its site or platform fails;
  • a post, and every Result on it (saved ones included), is deleted when someone asks us to remove it, or when a platform's own rules require it (posts from YouTube are deleted after 30 days);
  • we may add, change or remove platforms and features.

Other people's content. Results show posts written by other people, under their names or handles, with a link to the original. They belong to their authors, and we don't check or endorse them.

Support access. Our team can open your Project read-only to help you, as the Privacy Notice describes, and its Owners can see each time we did.

Third-party platforms

VoxUno finds posts on third-party platforms and sites, and links to them. Those platforms and sites are run by others, under their own terms, and we aren't responsible for them. We aren't affiliated with them, and they don't endorse VoxUno. When you follow a link to take part in a conversation, the platform's terms apply to what you do there.

When a platform changes. A platform or site can limit, change or end VoxUno's access at any time, without notice to us or to you. If that happens, VoxUno may stop covering it, or cover it less. That isn't a breach of these Terms or a defect in VoxUno, and it doesn't entitle you to a refund or credit.

YouTube. VoxUno uses YouTube API Services to find public YouTube videos. By using VoxUno, you agree to be bound by the YouTube Terms of Service. The Privacy Notice explains how VoxUno handles data from YouTube, with a link to Google's Privacy Policy.

Results, your content and feedback

Using Results. Results are other people's posts, so we can't give you ownership of them. While your Project has access to VoxUno, you and its members may read Results and use them for your business's own purposes, such as finding conversations to join, learning what people say about your business, and sharing them inside your business. You may not:

  • sell, license or publish Results, or collections of them;
  • use Results to build a dataset, or to train or fine-tune a machine-learning model;
  • use Results to decide anyone's eligibility for credit, employment, insurance or housing;
  • use Results to profile individuals, or to contact people in breach of anti-spam or marketing law.

Your content. You keep all your rights in what you put into VoxUno: your website's address, your Business Profile, your Monitors and their terms, your Tags and your Project's settings. You give us permission to store, copy and process it to provide VoxUno to you and to support you, including sending your Match terms to the platforms VoxUno searches, as search queries, and sending it to the providers the Privacy Notice lists. You confirm you have the right to give us this content.

Our rights. VoxUno, its software, design and documentation, and the VoxUno name and logo belong to us. These Terms give you the right to use VoxUno as they describe, and no other rights.

Feedback. If you send us ideas or suggestions about VoxUno, we may use them freely, without paying you or naming you, and we have no obligation to use them.

Publicity. We won't use your name or logo, or say you're a customer, to promote VoxUno without your prior written consent. An email from an Owner counts.

Your responsibility for claims against us

You'll defend Holden Labs LLC, and its owners and staff, against any claim brought by someone else, and pay any damages, fines and costs (including reasonable lawyers' fees) that a court or arbitrator awards, or that you agree to in a settlement, to the extent the claim arises from:

  • how you or your Project's members take part in conversations, including what you post;
  • your breach of "Acceptable use" or of the rules for using Results;
  • your breaking the law, including privacy, data-protection, anti-spam and marketing law; or
  • content you give us infringing someone else's rights.

This doesn't apply to the extent a claim arises from our own breach of these Terms, negligence or misconduct. We'll tell you promptly about any claim, though a delay only reduces what you owe to the extent it harmed you. You control the defence, and we'll help at your cost. You may not settle a claim in a way that admits fault for us, or puts an obligation on us, without our consent. We may take part with our own lawyer, at our own cost.

Disclaimers and liability

DISCLAIMER OF WARRANTIES. TO THE EXTENT THE LAW ALLOWS, VOXUNO IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WE MAKE NO WARRANTIES BEYOND THOSE IN THESE TERMS. WE DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

VOXUNO RELIES ON THIRD-PARTY PLATFORMS AND SITES FOR WHAT IT FINDS. SO WE DON'T WARRANT THAT VOXUNO WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL FIND EVERY POST THAT MATCHES OR ANY PARTICULAR POST, THAT ANY SITE OR COMMUNITY WILL STAY COVERED, THAT ITS SUGGESTIONS WILL BE ACCURATE OR SUITABLE, OR THAT WHAT POSTS SAY IS ACCURATE.

LIMITS ON LIABILITY. TO THE EXTENT THE LAW ALLOWS, AND EXCEPT FOR THE CLAIMS LISTED BELOW:

  • NEITHER YOU NOR WE ARE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, OR BUSINESS INTERRUPTION, EVEN IF TOLD THEY WERE POSSIBLE;
  • EACH OF US IS LIABLE TO THE OTHER, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR VOXUNO, FOR NO MORE IN TOTAL THAN THE GREATER OF (A) ALL FEES YOU PAID US UNDER THESE TERMS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

THESE LIMITS DON'T APPLY TO:

  • YOUR OBLIGATION TO PAY FEES YOU OWE;
  • YOUR OBLIGATIONS UNDER "YOUR RESPONSIBILITY FOR CLAIMS AGAINST US";
  • EITHER PARTY'S GROSS NEGLIGENCE, WILFUL MISCONDUCT OR FRAUD;
  • ANY LIABILITY THE LAW DOESN'T ALLOW TO BE LIMITED OR EXCLUDED, INCLUDING REMEDIES UNDER A STATUTE THAT CAN'T BE WAIVED, SUCH AS THE WASHINGTON CONSUMER PROTECTION ACT.

THESE LIMITS APPLY WHATEVER THE LEGAL THEORY, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. OUR PRICES ARE SET ON THE BASIS OF THEM.

Ending and deletion

Deleting a Project. An Owner can delete a Project at any time from its Company tab, including during or after its Grace period. Its data is deleted at once (our backups keep it for 30 days), and its Subscription is cancelled at once, without a refund.

Deleting your account. You can delete your account from Settings. That removes you from every Project, and deletes every Project you alone belong to. If you're the only Owner of a Project that has other members, first make another member an Owner, or delete the Project.

If we suspend or end your access. If you seriously or repeatedly break these Terms, we may suspend or end your access to VoxUno or to a Project. We may also suspend access straight away where we reasonably need to, to protect VoxUno, other customers or other people, or because the law requires it. Where we can, we'll tell you first and give you a chance to put things right, and we'll limit a suspension to what's needed and lift it once the reason has gone.

If we stop offering VoxUno. If we stop offering VoxUno altogether, we'll email the Owners of every Project at least 30 days ahead, and refund the unused part of any period already paid for.

Some records are kept after deletion, as the Privacy Notice explains. Anything in these Terms that by its nature should continue after they end does, including fees owed, the rules for using Results, your responsibility for claims against us, disclaimers and liability, governing law, disputes and arbitration, and the general terms.

Changes to these Terms

We may change these Terms. If a change is material, we'll email the Owners of every Project at least 30 days before it takes effect. Whenever these Terms change, the "Last updated" date at the top of this page changes too. If you keep using VoxUno after a change takes effect, you accept the changed Terms. If you don't accept them, stop using VoxUno and cancel or delete your Projects before the change takes effect.

A change to "Disputes and arbitration" never applies to a dispute either of us has already given notice of before the change takes effect.

Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs "Disputes and arbitration". The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.

Any dispute that isn't arbitrated under "Disputes and arbitration" goes to the state or federal courts located in Spokane County, Washington, and you and we agree to those courts' jurisdiction.

Nothing in these Terms shortens the time either of us has, under the law, to bring a claim.

Disputes and arbitration

Talk to us first. Before starting an arbitration or a lawsuit, the party with a claim sends the other a written notice of dispute: to us at support@voxuno.ai with the subject "Notice of dispute", or to you at your account's email address. The notice gives the sender's name and email address, describes the dispute and its facts, and says what the sender wants. We'll both try in good faith to resolve it. If we haven't resolved it within 60 days of the notice, either of us may start an arbitration.

Binding individual arbitration. Except for the claims listed under "What isn't arbitrated", any dispute or claim between you and us arising out of or relating to these Terms or VoxUno, whenever it arose, is resolved by binding arbitration before a single arbitrator, not in court. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs this section.

Rules and administrator. The American Arbitration Association (AAA) administers the arbitration under its Commercial Arbitration Rules, or under any other of its rules it decides apply. Where its Mass Arbitration Supplementary Rules apply, the AAA uses them too. The AAA's rules are at adr.org. If these Terms and the AAA's rules disagree, these Terms win, unless the AAA's rules give you more protection.

Where and how. Any hearing in person is held in Spokane County, Washington. Either of us may choose to take part in any hearing by video instead, and we can agree to have the arbitrator decide on written submissions alone.

Fees. If you start an arbitration, you pay no more of the AAA's filing, administration and arbitrator fees than the fee to file the claim in the Superior Court of Washington for Spokane County; we pay the rest. If we start an arbitration, we pay all of those fees. Each of us pays our own lawyers' fees and costs, unless the law that applies to a claim lets the arbitrator award them, as a court could.

What the arbitrator can award. The arbitrator applies these Terms and the law as a court would, and can award the same damages and other relief, to an individual, that a court could, including under a statute. Nothing in this section limits what either of us can recover beyond what the rest of these Terms already does. Neither of us has to keep the arbitration confidential, except as the law requires. The arbitrator's award can be entered as a judgment in any court with jurisdiction.

What isn't arbitrated. Either of us may instead:

  • bring an individual claim in a small claims court, in your county or in Spokane County, as long as it stays there and isn't brought as a class action;
  • go to court for an injunction or other order only, without damages; or
  • go to court about the infringement or misuse of either party's intellectual property.

Individual claims only. You and we may bring claims against each other only individually, not as a plaintiff or class member in any class, collective or representative action, whether in arbitration or in court. The arbitrator may not combine more than one party's claims or preside over any form of class or representative proceeding. The AAA may administer many similar cases together under its rules, but each claim is still decided on its own. A court, not an arbitrator, decides any dispute about whether this paragraph is valid or enforceable. If a court finds it unenforceable for a claim, that claim goes to court, not to arbitration, and this section still applies to every other claim.

No jury. For any claim that goes to court rather than to arbitration, to the extent the law allows, you and we each waive any right to a trial by jury.

Your right to opt out. You can opt out of arbitration by emailing support@voxuno.ai with the subject "Arbitration opt-out", giving your name and your account's email address, within 30 days of first accepting these Terms. If you accepted an earlier version of these Terms that had no arbitration section, you have 30 days from when this version takes effect for you. If you opt out, neither you nor we are bound by this section, and disputes go to the courts named in "Governing law". Opting out doesn't affect anything else in these Terms.

If part of this section fails. Apart from the paragraph "Individual claims only", which is dealt with there, if any part of this section is found unenforceable, that part is removed and the rest of this section still applies.

General

Assignment. We may assign or transfer these Terms without your consent in connection with a merger, acquisition, change of control, or sale of all or substantially all of our business or assets. You may not assign or transfer these Terms without our prior written consent. Any other attempt to assign them is void. These Terms bind anyone they're validly assigned to.

Events beyond our control. Neither of us is liable for a delay or failure caused by events beyond our reasonable control, such as a platform's or site's changes or outages, failures of our hosting, payment or email providers, internet or power failures, cyberattacks, natural disasters, war, epidemics, strikes, or changes in the law. This doesn't excuse paying fees you owe.

Notices. We send notices to the email address of your account and, for a Project, to its Owners. Keep your email address current. Send notices to us at support@voxuno.ai, or by post to the address in "Who we are". Notices and other communications sent by email count as being in writing.

Sanctions and export. You confirm that you aren't on a US government list of prohibited or restricted parties, aren't owned or controlled by anyone who is, and aren't in a country or region under a US embargo. You won't use VoxUno in breach of US or other applicable sanctions or export law.

Severability. If a court or arbitrator finds part of these Terms unenforceable, it's changed only as much as needed to make it enforceable, or removed if that isn't possible, and the rest of these Terms still applies. "Disputes and arbitration" has its own rules for this.

The whole agreement. These Terms, together with the Privacy Notice and any data processing agreement we sign with you, are the whole agreement between you and us about VoxUno, and replace anything said or agreed before. If a data processing agreement and these Terms disagree about personal data, the data processing agreement wins. Terms in a purchase order or other document you send us don't apply. Your purchase doesn't depend on any future feature, or on anything we've said about future features.

Other terms. If we don't enforce part of these Terms straight away, we can still enforce it later. You and we are independent parties: these Terms don't create a partnership, agency or employment. Nobody else has rights under these Terms. Headings are for convenience only.
